Help - guitar arpeggio tips?



I heard a cover of "Help" while watching a movie the other night, so I picked up my old Guild and started playing along. This is one way that I've been deciding what songs are in my "playing for my own enjoyment" repertoire the last couple of years. Something comes up in the background of a movie I'm watching at home and I get the bug to play it.

Anyway ... I got all the chords right (an easy one), but I had to Google for the arpeggios at the beginning and throughout the song.

At first, every page I found had this:

This didn't sound right, but it is *the* most prevalent tab appearing on the Internet. It's difficult to find anything different. I don't know if I can even remember where I found this alternate after giving up on the above tab:

Slight change - *BIG* difference.

I think this is really it, but I'm still having difficulty making it sound right. I believe, though, that it could just be a matter of ability and style. I did read somewhere that George complained that it was hard to play the notes in even, identical rhythm. I'd have to agree.

So, my question is two-fold.

1.  Is the 2nd tab above correct?  If not, what is?

2. Does anyone have any tips on how to play it smoothly (a certain fingering? I just need to practice it 1,000 more times?)

Any "help" would be appreciated.
