Would he get sneak attack? No.
Here's why I think not.
I've always equated "sneak attack" to an attack following a
"concentrate" action. During concentration (which can't be
interrupted, if it's to work, but can be done while walking slowly
[sneaking]), your rogue has to be doing some basic anatomy; "ribs
there, muscles so and so, thrust this direction to go for vital areas,
requiring this much force to make it through skeletal muscle."
If the target becomes aware at the same time as you, it's just an
attack of opportunity; you have to go for whatever is available, as the
opponent is parrying or moving as soon as he sees you.
An unaware target may be moving, but it's slower, more regular. Anyone
who's done sparring knows what I mean; even a non-flatfooted opponent
who's doing some moving in non-combat situations won't be concentrating
on being erratic, so it'll generally be more regular.
I've always felt that "set up" time was the difference in a sneak
attack; in fencing, if my opponent stands still for a bit and lets me
set up, I generally hit. But a regular attack is harder to hit with.
