moment - it's not what's IN the agreement that's the problem, it's
what's left OUT, and the fact that once you've signed the bit of paper
that leaves it out, it's out forever.

You're right, you don't know enough (or perhaps anything) about it. The
point being that ANY negotiation is doomed to failure if one side opts to
simply reject the initial offer out of hand and walks away without ANY
sort of counter-offer.
