as far as i know, the upgrade version must be ordered from apple; it is
not available in stores.
also, the upgrade version is slightly different than the full retail
copy. it requires an existing installation of os x, whereas the retail
copy can install onto a completely erased drive. this isn't a huge
deal for those who are upgrading, but it is a bit of a pain in the
event of a full reinstall (two systems must be installed -- the
original followed by the upgrade).
