Since the VL420 has a rather incompatible and insufficient memory
interface, I wouldn't even try to upgrade the system. The cpu upgrade is
definitely not worth the money, given that it works, which is highly
unlikely.
If you must upgrade, rather go for a Northwood P4 with 1,8-2GHz which may
be available rather cheaply (30-40 bucks or so when used). These cpus don't
run as hot as your current Williamette and are also a lot more powerful.
However, the memory interface will swallow up most of the performance gain.
