Try using the System File Checker (SFC) that is still in XP to check
for corrupt system files:

tried above, still the same. Then i even did a repair install (not recovery,
but whole installation) but problem is still there...i bet it's something in
registry, and since repair install doesn't touch registry, then it's normal
that problem is still here....

It really seems that c:\format is calling upon that PC... :-(
