Most likely to be hardware - could be the power supply on its way out, could be the cpu getting too hot (although CPU getting too hot usually shuts machine down) - can your BIOS tell you what the temp of the CPU is.....should be around 55°C to 65°C

In fact to be honest it could be anything - Mobo, HDD, video card - and yes ram - I know you've tested but Windows can hang on hardware that passes hardware diags

SATA HDD?? reseat the cables.......

For what its worth, try a fresh install of XP - could be left over stuff from ’98. See if you can do this on a new HDD......
