How can I successfully or cleverly sell off branded OEM Microsoft WinXP Pro discs without eBay/Microsoft/VeRO bitching???

(The disc and manual are shrinkwrapped/factory sealed but the CD key and COA is on the actual PC, but the CD key is also included in a file on the disc.)

P.S. - I'm aware of the non-peripheral hardware bundle requirement.
