Another P5WD2 Premium Question

I bought a P5WD2 board in 2005.
It was RMA'd in December 2005

The board works with other CPU's

I just bought a Intel 940D

It wont even beep, nothing to the monitor,....however, put another chip in
it and it works fine.

Is it because the BIOS is not updated?

Would that prevent anything from going to the monitor?

Will the 940 D work with the P5WD2 premium with a bios upgrade?
