problem windows xp on medion asus motherboard (acpi)

Hi,
I have a problem with a medion pc with an asus motherboard.
The motherboard is an medion2001 rev 1.01 made by asus.
It came equiped with windows ME but I'm installing windows xp on it.
I installed windows xp without problems on it but I experienced problems
when I installed mcafee 9 on it.
After the upgrade the computer freezes on the reboot or shutdown.
It says shutting down the system and then does nothing more.
I checked the windows logs and found some acpi problems, it says the acpi
bios tries to read on an invalid I/O portaddress 0xcfc which is in the
protected 0xcf8-0xcff address range and can cause instability problems.
So I turned off acpi by setting in device manager the system from acpi hal
to standard pc hal and now the pc doesn't freeze anymore (but I have a
message that I have to turn it off manually now off course)
I tried to see if the system supported apm instead but apmstat from the
windows support tools tells me that the system supports acpi so apm support
doesn't matter.
I tried to install the nt apm device but I received error code 37 that the
device could not be initialised. (Anyone know if this motherboard supports
apm?)
I installed bios version 1009 which seems to be the latest on the medion
website but it doesn't fix the problem.
Any suggestions? Does anyone have the same motherboard with windows xp?
