Yes, it will, as long as your A8N-e has BIOS 1010:

AMD Opteron Dualcore 165 (revE6) (Socket939)
BIOS 1010 has been out since 12/21/05: not sure if your board will come with it installed.
If not, I have heard that having a single core AMD64 around to use to flash the BIOS is quite helpful. (Or, maybe they will do that where you purchase the motherboard.)
Win32 XP will run great on the Opteron Dual Core, and, when XP64 when it becomes the standard. Though it's a 64 bit chip, both the Athlons and Opterons run XP perfectly....
