A7N8X-e Deluxe emregency shutdown during POST

I have been running an ASUS A7n8X-E Deluxe with an AMD Athlon Xp
1500+, with a front side bus of 266, with little or no problems. I
upgraded the BIOS (Phoenix Technologoies, LTD ASUS A7N8X-E Deluxe
ACPI Bios REv 1013, 11/12/2004), and the system worked fine. several
weeks later, I upgraded the upgraded the RAM to 1gb, DDR 2700
(333mhz), and the system works fine

I am trying to install a new CPU, an AMD Athlon XP 2800+, 333 MHz
(AXDL2800DLV4D), the system turns on, and while doing the POST, the
entire system shuts down. I can quickly get into the BIOS, but while
inthe BIOS, the system still shuts down.

any ideas?
