According to HP's specs, the 7940 'as is' is compatible with Win ME^1.

Where did you get this XP disk? That is, what all does it say on the top?

The machine is an HP Pavilion 7940
Intel P3 1.0B GHz
40 G drive
128M ram

The guy I am trying to fix it for said he moved and can't find the
disks that came with the computer. He brought a back up XP disk that
he got from his brother.

Yabbut I wonder what /that/ (source 'back up') disk says on its top. There are all kinds of XP disks around. If a person is using a (some kind of a) 'bootleg' disk, it is important to use the right kind of bootleg disk, because if you try to use a bootleg disk of 'the wrong kind' it isn't going to work.

If I were going to install XP on a machine, I wouldn't make a bad choice about where I got my XP install disk.

When I turned on the machine, ME reported something like "seaching for
hardware" and would just hang.

Well, we/you don't have an ME disk for that machine, right?

I booted from the XP disk and got no warning that the machine didn't
meet the min requirements. It let me format the machine NTSF and
started installing.

I get.......Setup failed to install product catalogs

Fatal error

Setup log files should contain more info

C:\Windows\system32\intpki.dll

mountmgrsys is corrupt.

My reading about that message suggests that is something that happens when you are trying to upgrade (such as ME), not install XP as a clean install.
